Source of Title Forums: Re: When to draw the line

Many states have tax advantages (and disadvantages) -- some provide better tax treatment than Delaware -- but I don't think that is the reason so many corporations choose to be domiciled in Delaware. Joel is right - the primary reason is that their corporation law is very well settled and I believe they provide favorable treatment of officers and directors.
