Please read my earlier post more carefully. I said the corporate shield will protect individuals against liability from contract breach provided the formalities have been observed. I said that in Connecticut the corporate shield will not protect corporate officers against tort liability...whether or not the tort is perpetrated either in their personal capacity or in their representative capacity. The corporate shield and the insurance protect against different liabilities.
