You need to keep in mind the party with whom you are dealing. If the party with whom you are dealing is an agent for an off shore company, they need to disclose to you that they are acting in the capacity of an agent and the identity of the principal for whom the are acting as an agent. In Connecticut it is incumbent on the agent to disclose this information. It is not the other party to the transaction's obligation to search out this information. In the absence of this disclosure the agent is personally liable to you. On the other hand, if they are the principal the off shore company does not enter into the transaction.

Whether you would be liable to his principal on a claim would depend on the nature of the claim asserted against you and the disclosures made to you in the transaction.
