Very good point. If I remember the rules on a contract, there has to be consideration. No consideration, then no contract. We have a clause in our standard agreement with our clients, that if the invoice is not paid in full w/i 60 days, then our report is null and void with no liability on us.
We have never had to argue the validity of this clause, but our lawyers likes it.
